Welcome to lobsterfarm, a service operated by Foxwise AI FZ-LLC ("Company," "we," "us," or "our"). These Terms of Service ("Terms") govern your access to and use of the lobsterfarm platform and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.
1. Description of Service
lobsterfarm provides a managed hosting service that deploys and maintains instances of third-party software (including but not limited to Clawd.bot) on cloud infrastructure on your behalf. We provision, configure, secure, and manage cloud computing resources ("Instances") that run this software.
Important: lobsterfarm is a hosting and management service only. We do not develop, own, or control the underlying Clawd.bot software or any other third-party software deployed through our Service. Your use of such software is subject to its own license terms.
2. License Grant
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal or internal business purposes.
2.1 What You Receive
You receive access to a managed cloud Instance running third-party software. This includes:
- Provisioning and initial configuration of the Instance
- Security hardening and maintenance
- Access to our dashboard for monitoring and management
- Technical support as described in your service plan
2.2 What You Do Not Receive
Your subscription does not grant you any rights to:
- Our proprietary deployment scripts, automation tools, configurations, or infrastructure code
- Our security hardening procedures, methodologies, or implementations
- Any software, tools, or systems we use to provision, manage, or monitor Instances
- Our dashboard software, APIs, or management interfaces (beyond authorized use)
- Any intellectual property owned by or licensed to lobsterfarm
All such materials remain the exclusive property of lobsterfarm or our licensors and are protected by applicable intellectual property laws.
3. Account and Access
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.
You must provide accurate and complete information when creating an account. We reserve the right to suspend or terminate accounts that contain false or misleading information.
4. Acceptable Use
You agree not to use the Service to:
- Violate any applicable laws, regulations, or third-party rights
- Distribute malware, spam, or other harmful content
- Attempt to gain unauthorized access to our systems or other users' Instances
- Reverse engineer, decompile, or attempt to extract our source code, configurations, or proprietary methods
- Resell, sublicense, or redistribute the Service without our written consent
- Use the Service to develop a competing product or service
- Circumvent any security measures or usage limits
- Use the Service in any manner that could damage, disable, or impair our infrastructure
5. Third-Party Software
The Service facilitates deployment of third-party software, including Clawd.bot and related tools. You acknowledge that:
- Such software is provided by third parties, not by lobsterfarm
- Your use of third-party software is governed by its respective license terms
- We make no representations or warranties regarding third-party software
- We are not responsible for the functionality, security, or performance of third-party software
- Third-party software may require your own API keys or subscriptions (e.g., OpenAI, Anthropic)
6. Your Data and Content
6.1 Ownership
You retain ownership of any data, content, or information you upload, store, or process through the Service ("Your Content").
6.2 License to Us
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to access, use, process, and store Your Content solely as necessary to provide, maintain, and improve the Service. This includes the right to:
- Analyze usage patterns and performance metrics (in aggregated, anonymized form)
- Debug issues and provide technical support
- Develop and improve our Service offerings
- Generate insights to enhance our infrastructure and processes
6.3 Feedback
Any feedback, suggestions, or ideas you provide about the Service ("Feedback") becomes our property. We may use Feedback for any purpose without compensation or attribution to you.
7. Fees and Payment
7.1 Subscription Fees
The Service is provided on a subscription basis. Fees are charged in advance on a monthly or annual basis as selected during signup. All fees are stated in US dollars unless otherwise specified.
7.2 No Refunds
All fees are non-refundable. This includes, without limitation: subscription fees, setup fees, and any other charges. If you cancel your subscription, you will retain access until the end of your current billing period, but no refunds or credits will be issued for any reason, including unused time, dissatisfaction with the Service, or termination for breach of these Terms.
7.3 Price Changes
We may change our fees at any time. Price changes will take effect at the start of your next billing cycle following notice to you.
7.4 Third-Party Costs
You are solely responsible for any costs associated with third-party services required to use your Instance, including but not limited to API fees from AI providers (OpenAI, Anthropic, etc.).
8. Service Availability
8.1 No Guarantees
We strive to maintain high availability but do not guarantee uninterrupted or error-free operation of the Service. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
8.2 Modifications
We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time, with or without notice. We may also impose limits on certain features or restrict access to parts of the Service without liability.
9. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We expressly disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, we do not warrant that:
- The Service will meet your requirements or expectations
- The Service will be uninterrupted, timely, secure, or error-free
- Any results obtained through the Service will be accurate or reliable
- Any third-party software deployed through the Service will function correctly
- Any defects will be corrected
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL FOXWISE AI FZ-LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.
Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless Foxwise AI FZ-LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your Content or data processed through the Service
12. Termination
12.1 By You
You may cancel your subscription at any time through your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.
12.2 By Us
We may suspend or terminate your access to the Service at any time, for any reason or no reason, with or without notice. Reasons for termination may include, but are not limited to, breach of these Terms, suspected fraudulent or illegal activity, or discontinuation of the Service.
12.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We may delete your Instance and any associated data. We have no obligation to retain or provide access to Your Content after termination. No refunds will be issued upon termination.
13. Data Export
While your subscription is active, you may request an export of Your Content stored on your Instance. We will make reasonable efforts to assist with data export, but we do not guarantee the format, completeness, or compatibility of exported data. Data export requests must be made before termination of your subscription.
14. Governing Law and Disputes
These Terms are governed by the laws of the United Arab Emirates, without regard to conflict of law principles.
Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in Dubai, UAE, administered by the Dubai International Arbitration Centre (DIAC) under its rules then in effect. You agree to waive any right to participate in class actions or class-wide arbitration.
15. Changes to Terms
We may modify these Terms at any time by posting the revised version on our website. The "Last Updated" date at the top indicates when changes were made. Your continued use of the Service after changes constitutes acceptance of the modified Terms.
16. Miscellaneous
Entire Agreement: These Terms constitute the entire agreement between you and Foxwise AI FZ-LLC regarding the Service and supersede all prior agreements.
Severability: If any provision of these Terms is found unenforceable, the remaining provisions will continue in effect.
Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.
Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
